of Sale

These Terms and Conditions govern all sales of products and services by TAQ Pte Ltd. By issuing a Purchase Order or communicating acceptance in writing, the Customer agrees to be bound by these terms. Where any conflict exists between these terms and a Customer Purchase Order, the Purchase Order shall prevail.
1 Definitions

TAQ

TAQ Pte Ltd, the company issuing these terms.

Customer

An independent person or entity not affiliated with TAQ that has purchased products or services directly from TAQ and has paid TAQ directly.

External or Third Party

Any other independent person or entity not a direct Customer of TAQ but with an affiliation to TAQ — e.g., supplying raw materials, or using TAQ products and services.

Suppliers

External manufacturers or suppliers of raw materials or final products for assembly or distribution by TAQ.

Custom Products

Products manufactured or assembled by TAQ to Customer specifications — e.g., science educational kits, scientific materials, or laboratory chemical solutions.

Sourced Products

Products sourced or recycled from external suppliers, which may or may not be covered by a distribution agreement. Additional supplier terms may apply.

SDS

Safety Data Sheet — accompanying documentation provided for applicable products.

2 Agreement Terms & Acceptance

Acceptance of Orders

TAQ reserves the right to accept or reject any order prior to confirmation. Once a Purchase Order is accepted, any termination or variation requires written agreement of both parties, unless otherwise permitted by law.

Price Changes

Sourced products are subject to supply chain amendments. TAQ will make every effort to retain the quoted price and will inform the Customer of any changes before proceeding.

Binding Agreement

The Customer is deemed to have accepted these terms by issuing a Purchase Order or via written communication. No external terms shall apply unless expressly agreed to in writing by TAQ.

Electronic Invoicing

Invoices are delivered electronically in line with national waste reduction standards.

Gifts & Ethics

TAQ may occasionally offer ex-stock items as gifts to reduce company waste. It is the Customer’s responsibility to ensure that accepting such gifts complies with their local anti-corruption laws and institutional policies.

Disputes

If the Customer has any objections, these must be communicated in writing within a reasonable time. TAQ will then enter negotiations for reconciliation.

3 Compliance, Safety & Liability

Authorized Use

All TAQ products are for educational and scientific research use only and are strictly not intended for medical, clinical, or human use.

Indemnification

To the extent permitted by law, the Customer is responsible for its own acts or omissions in the storage, handling, and use of the products.

SDS & Waste Disposal

The Customer must comply with all applicable Safety Data Sheets and local laws regarding the disposal of products.

Limitation of Liability

TAQ shall not be liable for indirect, incidental, special, or consequential damages (including loss of profits). TAQ’s total liability shall not exceed the purchase price of the specific product giving rise to the claim.

Legal Disclosure

Nothing in this agreement shall prevent TAQ from disclosing information where required by law, regulation, or a lawful order of a competent authority.

4 Delivery & Ownership

Finality of Sales

All sales by TAQ are considered final once payment is completed, subject to the terms of this agreement.

Delivery Charges

All delivery charges — including shipping, storage, and insurance — are borne by the Customer unless otherwise specified by TAQ at the time of sale.

Risk of Loss

Risk of loss or damage passes to the Customer upon delivery. Customers are advised to inspect all products immediately upon receipt before accepting delivery.

Title & Non-Payment

TAQ reserves all rights under Singapore law in the event of non-payment, including suspension of further deliveries. Title to products remains with TAQ until full payment is received.

Important: TAQ is not liable for any damage to products after delivery. Customers should inspect all goods upon receipt before accepting the delivery.
5 Warranty

Duration

Warranty covers parts and service for one (1) year from the date of receipt of goods.

Warranty Conditions

Warranty applies only if:

  • Damaged products (broken, torn, etc.) remain sealed in original packaging upon receipt; or
  • Unused chemicals are found to be past their expiry date upon receipt.

Voiding Warranty

Failure to adhere strictly to the manufacturer’s guidelines, or any unintended or improper use, will immediately void the warranty.

Exchange Conditions

TAQ is not liable for any loss of use of a product during the period in which a defective product is being exchanged or a refund is being processed.

6 General Provisions

Force Majeure

TAQ shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, pandemics, or supply chain embargoes.

Governing Law

These terms are governed exclusively by the laws of the Republic of Singapore.

Conflict of Terms

In the event of any conflict between these General Terms and Conditions and the Customer’s Purchase Order, the Purchase Order shall prevail.
